Terms of Use

Effective Date: August 1, 2025

1. Acceptance of These Terms

These Terms of Use (the “Terms”) form a binding agreement between you (“you” or “your”) and Ameya Research Corp. (“AMEYA,” “we,” “us,” or “our”) governing your access to and use of the AMEYA mobile applications, websites, and services (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Services.

You must be at least the age of majority in your jurisdiction (18 in Alberta) to create an account and accept these Terms on your own behalf. Where you are using the Services as part of a clinical or research program that admits younger participants, you may use the Services only with the consent of a parent or legal guardian and in accordance with the program’s authorization.

2. The Services Do Not Provide Medical Advice

Important: The Services are intended for educational, informational, self-management, and clinical-program-support purposes. Content provided through the Services — including text, images, videos, exercise programs, dietary information, surveys, AI-generated responses, and other materials — is not a substitute for professional medical advice, diagnosis, or treatment.

Always seek the advice of your physician or other qualified health professional with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay seeking it because of something you have read or seen on the Services.

If you think you may have a medical emergency, call your doctor or 911 (or your local emergency number) immediately. The Services are not designed for use in medical emergencies and should not be relied upon for emergency response.

Where the Services include features that use artificial intelligence (for example, conversational chatbots or AI-generated insights), those features may produce inaccurate, incomplete, or out-of-date information. Treat AI-generated content as a starting point for conversation with your healthcare team, not as clinical advice.

3. Account Registration and Security

To use most features of the Services, you must register for an account. You agree to:

  • provide accurate, current, and complete information at registration
  • keep your account information up to date
  • maintain the confidentiality of your password and other authentication credentials
  • not share your account with any other person
  • notify us promptly at support@ameyahealth.com of any unauthorized use of your account or any other security breach

You are responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to protect your credentials.

4. Acceptable Use

You agree that you will not:

  • use the Services for any unlawful purpose or in violation of these Terms
  • attempt to gain unauthorized access to the Services, other accounts, or our systems or networks
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services, except to the extent such restriction is prohibited by law
  • use any automated means (bots, scrapers, crawlers) to access or extract data from the Services without our prior written consent
  • interfere with or disrupt the operation of the Services, including by introducing malware or excessive load
  • impersonate another person or misrepresent your affiliation with any person or entity
  • upload or transmit content that is illegal, harmful, harassing, defamatory, infringing, or that contains another person’s personal or health information without authorization
  • use the Services to provide medical advice or clinical services to third parties without appropriate professional licensure and authorization from AMEYA
  • resell, sublicense, or commercially exploit the Services or any content within them

We may suspend or terminate your access to the Services if we reasonably believe you have breached these acceptable use rules.

5. Your Content

The Services allow you to enter information about yourself, your health, and your activities (“User Content”). You retain all rights in your User Content. You grant AMEYA a limited, non-exclusive, royalty-free licence to host, store, process, transmit, display, and analyze your User Content solely for the purpose of operating, securing, and improving the Services and providing them to you, in accordance with our Privacy Policy.

You represent that you have the right to provide any User Content you submit and that your User Content does not infringe the rights of any third party.

Where the Services are provided as part of a research study, your User Content may also be processed in accordance with the research ethics board (REB)-approved protocol and the consent form you signed. In that case, the consent form governs the use of your User Content for research purposes.

6. Intellectual Property

The Services, including all software, content (other than User Content), text, images, video, audio, designs, trademarks, logos, and other materials, are owned by AMEYA or our licensors and are protected by Canadian and international intellectual property laws.

Subject to your compliance with these Terms, AMEYA grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for your personal, non-commercial use, or for use within an authorized clinical or research program. All rights not expressly granted are reserved.

“AMEYA,” the AMEYA logo, “Prehab4Me,” “eMPower,” “Livvy,” and other AMEYA marks are trademarks of Ameya Research Corp. You may not use any AMEYA mark without our prior written permission.

7. Third-Party Services and Links

The Services may rely on third-party services (for example, cloud hosting, authentication, and content delivery) and may link to or integrate with third-party websites, applications, or content. We do not control and are not responsible for those third-party services or their content. Your use of third-party services is subject to those providers’ own terms and privacy policies.

8. App Store Terms

If you download our mobile application from the Apple App Store or Google Play, your use of the application is also subject to the applicable app store’s terms of service. In the event of a conflict, the app store’s terms govern with respect to your relationship with that store. We are solely responsible for the Services and any claims relating to them; the app store providers are not.

9. Changes to the Services

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance, except that if we discontinue the Services entirely, we will provide reasonable advance notice and a means for you to export or delete your data, as described in our Privacy Policy.

10. Termination

You may stop using the Services and close your account at any time through the in-app deletion flow or by contacting support@ameyahealth.com, as described in our Privacy Policy.

We may suspend or terminate your access to the Services if you breach these Terms, if we are required to do so by law, or if continued provision is no longer commercially or technically feasible. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, indemnity, and dispute resolution — will survive.

11. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. AMEYA disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from a course of dealing or usage of trade.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any information provided through the Services is accurate, complete, or current.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • AMEYA will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with these Terms or the Services, even if we have been advised of the possibility of such damages
  • AMEYA’s total aggregate liability arising out of or in connection with these Terms or the Services will not exceed the greater of (a) the amount you paid AMEYA in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100)

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnity

You agree to defend, indemnify, and hold harmless AMEYA and its directors, officers, employees, agents, contractors, successors, and assigns from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services in breach of these Terms, (b) your User Content, or (c) your violation of any law or the rights of any third party.

14. Governing Law and Disputes

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of laws principles. Subject to the following paragraph, you and AMEYA submit to the exclusive jurisdiction of the courts of Alberta for any dispute arising out of or relating to these Terms or the Services.

Nothing in these Terms limits your rights under mandatory consumer protection laws of your jurisdiction of residence.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Effective Date” above and, where required, notify you through the Services or by email. Your continued use of the Services after a change takes effect constitutes your acceptance of the updated Terms.

16. General

  • Entire agreement: These Terms, together with the Privacy Policy and any other agreement we have with you, are the entire agreement between you and AMEYA regarding the Services.
  • Severability: If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
  • No waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Notices: We may give you notice through the Services or to the email address associated with your account. You may give us notice at support@ameyahealth.com.
  • Language: The parties have requested that these Terms and all related documents be drawn up in English. Les parties ont demandé que la présente convention ainsi que tous les documents qui s’y rattachent soient rédigés en anglais.
